Terms of Service

1. Acceptance of Terms

By accessing our facility, using our design services, or utilizing our warehousing and logistics platform, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity to these terms.

2. Scope of Services

We provide professional design consultation, architectural hardware supply, and warehouse storage/fulfillment services. All services are subject to availability and the specific terms of any signed Statement of Work (SOW) or Warehouse Receipt.

3. Fees and Payment

• Payment Terms: All invoices are due within 30 days of the invoice date unless otherwise specified in writing.
• Late Fees: Outstanding balances after 30 days are subject to a late fee of 1.5% per month or the maximum rate permitted by Florida law.
• Taxes: Clients are responsible for all applicable sales, use, and excise taxes, unless a valid Florida tax-exempt certificate is provided.

4. Warehouse & Inventory Rules

For clients utilizing the 8524 E Adamo Dr facility for storage:

• Access: Site visits and inventory inspections must be scheduled 24 hours in advance.
• Prohibited Items: No hazardous materials, explosives, or illegal substances may be stored on the premises.
• Liability for Goods: Our liability for loss or damage to stored goods is limited to $0.50 per pound, unless a higher valuation is declared and additional insurance premiums are paid by the client.

5. Design & Intellectual Property

• Ownership: Southern Design & Warehouse retains ownership of all preliminary sketches, technical drawings, and custom design concepts created during the consultation phase until full payment is received.
• License: Upon final payment, the client is granted a non-exclusive license to use the designs for their specific project at the intended location.

6. Termination

• By Client: You may terminate your service agreement with 30 days' written notice. All outstanding fees for services rendered must be settled prior to the release of any stored inventory.
• By Us: We reserve the right to suspend or terminate services immediately for non-payment or if your use of the facility poses a safety risk to our staff or other clients.

7. Limitation of Liability

To the maximum extent permitted by law, Southern Design & Warehouse shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from service delays, delivery errors, or site access issues. Our total liability shall not exceed the total amount paid by the client in the six (6) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Southern Design & Warehouse and its employees from any claims, damages, or legal fees resulting from your breach of these terms or any third-party claims related to the goods you store at our Tampa facility.

9. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Florida. Any legal action or proceeding relating to these terms shall be instituted in the state or federal courts located in Hillsborough County, Florida.

10. Changes to Terms

We may update these terms from time to time to reflect changes in our operations or legal requirements. Continued use of our services after such changes constitutes acceptance of the new terms.
